Welcome to B21

These Terms and Conditions govern your use of our comprehensive financial technology platform. By accessing or using B21 services, you agree to be bound by these terms. Please read them carefully.

1. Acceptance of Terms

By accessing, browsing, or using the B21 platform and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. These terms constitute a legally binding agreement between you and B21 Financial Technology Platform.

Agreement Scope

  • These terms apply to all users of B21 services
  • Additional terms may apply to specific services or features
  • By using our services, you represent that you are at least 18 years old
  • You have the legal capacity to enter into this agreement
  • If you disagree with any part of these terms, you must not use our services

Binding Nature

This agreement is binding upon you, your heirs, successors, and assigns. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

B21 provides a comprehensive suite of financial technology solutions designed to facilitate secure, efficient, and innovative financial transactions and services.

Core Services

  • Payment gateway and processing services
  • Point of Sale (POS) systems and terminals
  • Mobile and digital payment solutions
  • Merchant services and business solutions
  • Financial analytics and reporting tools
  • API integration and developer resources
  • Security and compliance services
  • Customer support and technical assistance

Service Availability

  • Services are provided on an "as available" basis
  • We strive for 99.9% uptime but cannot guarantee uninterrupted service
  • Scheduled maintenance may temporarily affect service availability
  • We reserve the right to modify or discontinue services with notice

Geographic Limitations

Our services may not be available in all jurisdictions. We reserve the right to restrict access based on geographic location, regulatory requirements, or business considerations.

3. User Accounts and Registration

To access certain features of our platform, you must create and maintain a user account. You are responsible for maintaining the confidentiality and security of your account.

Account Registration

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Choose a strong, unique password for your account
  • Verify your identity through our KYC (Know Your Customer) process
  • Comply with all applicable laws and regulations

Account Security

  • You are solely responsible for maintaining account confidentiality
  • Notify us immediately of any unauthorized account access
  • Use strong authentication methods when available
  • Log out of your account when using shared or public devices
  • Accept responsibility for all activities under your account

Account Restrictions

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose security risks to our platform or other users.

4. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these terms. The following activities are strictly prohibited:

Compliance Requirements

  • Comply with all applicable local, national, and international laws
  • Adhere to financial services regulations in your jurisdiction
  • Provide accurate information for regulatory reporting
  • Cooperate with law enforcement and regulatory investigations

Monitoring and Enforcement

We reserve the right to monitor user activity, investigate violations, and take appropriate enforcement actions including account suspension, termination, and legal action.

5. Payment Terms and Conditions

All payments processed through our platform are subject to the following terms and conditions:

Payment Processing

  • All transactions are processed securely using industry-standard encryption
  • Payment information is handled in compliance with PCI DSS standards
  • Transaction fees apply as outlined in our fee schedule
  • Processing times may vary based on payment method and amount
  • Currency conversion rates are applied at the time of transaction

Fees and Charges

  • Transaction fees are clearly disclosed before payment confirmation
  • Monthly service fees may apply to certain account types
  • Additional fees may apply for premium features or services
  • Fee schedules are subject to change with 30 days notice
  • Refunds are processed according to our refund policy

Payment Authorization

By initiating a payment, you authorize us to charge the specified amount to your chosen payment method. You represent that you have the right to use the payment method and that the information provided is accurate.

6. Intellectual Property Rights

The B21 platform and all related content, features, and functionality are owned by B21 and are protected by intellectual property laws.

Our Intellectual Property

  • All software, technology, and platform components
  • Trademarks, service marks, and brand elements
  • Copyrighted content, documentation, and materials
  • Trade secrets and proprietary methodologies
  • APIs, SDKs, and developer tools

User Content

  • You retain ownership of content you submit to our platform
  • You grant us a license to use your content for service provision
  • You represent that you have rights to all submitted content
  • You will not submit content that infringes third-party rights

License to Use

We grant you a limited, non-exclusive, non-transferable license to use our services for their intended purpose, subject to these terms and conditions.

7. Limitation of Liability

To the maximum extent permitted by law, B21 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Liability Limitations

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Third-party claims or actions
  • Unauthorized access to accounts or systems

Maximum Liability

Our total liability for any claims arising from these terms or your use of our services shall not exceed the amount of fees paid by you to B21 in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless B21 from any claims, damages, or expenses arising from your violation of these terms or misuse of our services.

8. Termination

Either party may terminate this agreement under the circumstances outlined below:

Termination by User

  • You may terminate your account at any time through account settings
  • Account closure requests are processed within 30 days
  • Outstanding obligations must be settled before closure
  • Data retention policies apply after account closure

Termination by B21

  • Violation of these terms and conditions
  • Fraudulent or illegal activity
  • Extended period of account inactivity
  • Regulatory or legal requirements
  • Business or operational reasons

Effect of Termination

Upon termination, your right to use our services ceases immediately. Provisions regarding liability, indemnification, and intellectual property survive termination.

9. Data Privacy & Protection

B21 is committed to protecting your personal data and privacy in accordance with applicable global privacy laws and regulations, including but not limited to GDPR, CCPA, PIPEDA, and other regional privacy frameworks.

Data Collection and Processing

  • We collect personal data necessary for service provision and regulatory compliance
  • Data processing is based on legitimate legal grounds including consent, contract performance, and legal obligations
  • We implement data minimization principles, collecting only necessary information
  • Personal data is processed securely using industry-standard encryption and security measures
  • Cross-border data transfers comply with applicable international transfer mechanisms

Your Privacy Rights

  • Right to access your personal data and obtain copies
  • Right to rectification of inaccurate or incomplete data
  • Right to erasure (right to be forgotten) under applicable circumstances
  • Right to restrict processing of your personal data
  • Right to data portability in structured, machine-readable format
  • Right to object to processing based on legitimate interests
  • Right to withdraw consent where processing is based on consent
  • Right to lodge complaints with supervisory authorities

Regional Privacy Compliance

  • EU/EEA: Full compliance with General Data Protection Regulation (GDPR)
  • United States: Compliance with California Consumer Privacy Act (CCPA) and state privacy laws
  • Canada: Adherence to Personal Information Protection and Electronic Documents Act (PIPEDA)
  • Asia-Pacific: Compliance with regional data protection frameworks including Singapore PDPA
  • Nigeria: Compliance with Nigeria Data Protection Regulation (NDPR)

Data Retention and Deletion

We retain personal data only for as long as necessary to fulfill the purposes for which it was collected, comply with legal obligations, resolve disputes, and enforce our agreements. Upon account termination, data is securely deleted according to our retention schedule and applicable legal requirements.

10. International Compliance & Regulatory Framework

As a global financial technology platform operating across multiple jurisdictions, B21 maintains compliance with international financial regulations, anti-money laundering (AML) requirements, and counter-terrorism financing (CTF) standards.

Global Financial Compliance

  • Anti-Money Laundering (AML) compliance in all operating jurisdictions
  • Counter-Terrorism Financing (CTF) monitoring and reporting
  • Know Your Customer (KYC) verification procedures
  • Sanctions screening and compliance with international sanctions lists
  • Suspicious Activity Reporting (SAR) to relevant authorities
  • Payment Card Industry Data Security Standard (PCI DSS) compliance

Jurisdictional Compliance

  • Nigeria: Central Bank of Nigeria (CBN) regulations and guidelines
  • European Union: Payment Services Directive 2 (PSD2) and Electronic Money Directive (EMD)
  • United States: Bank Secrecy Act (BSA), USA PATRIOT Act, and state money transmitter licenses
  • Canada: Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA)
  • Asia-Pacific: Local financial services regulations and central bank requirements

Cross-Border Transaction Compliance

  • Foreign exchange regulations and reporting requirements
  • International wire transfer regulations (SWIFT compliance)
  • Tax reporting obligations including FATCA and CRS
  • Trade finance and export control compliance
  • Correspondent banking relationship management

Regulatory Cooperation

B21 maintains cooperative relationships with financial regulators worldwide and provides full cooperation with regulatory examinations, investigations, and information requests in accordance with applicable laws and mutual legal assistance treaties.

11. Force Majeure

B21 shall not be liable for any failure or delay in performance of its obligations under these terms if such failure or delay results from circumstances beyond our reasonable control.

Force Majeure Events

  • Natural disasters, earthquakes, floods, hurricanes, or other acts of nature
  • Pandemics, epidemics, or public health emergencies
  • Wars, terrorism, civil unrest, or political instability
  • Government actions, sanctions, or regulatory changes
  • Cyber attacks, system failures, or infrastructure disruptions
  • Banking system failures or correspondent bank restrictions
  • Internet or telecommunications network failures
  • Labor strikes, lockouts, or other industrial actions

Effect of Force Majeure

  • Suspension of affected services without liability
  • Extension of performance deadlines for the duration of the event
  • Implementation of alternative service delivery methods where possible
  • Prioritization of critical services and customer communications
  • Coordination with regulatory authorities and business partners

Notification and Mitigation

  • Prompt notification to users through available communication channels
  • Regular updates on service restoration efforts and timelines
  • Implementation of business continuity and disaster recovery plans
  • Reasonable efforts to minimize service disruption and customer impact
  • Cooperation with authorities and third-party service providers

Termination Rights

If a force majeure event continues for more than 90 consecutive days and materially affects our ability to provide services, either party may terminate the affected services with 30 days written notice.

12. Governing Law and Dispute Resolution

These terms are governed by applicable laws based on your location and the nature of services provided, with dispute resolution mechanisms designed to accommodate our global user base.

Governing Law by Jurisdiction

  • Nigeria: Nigerian federal law and Central Bank of Nigeria regulations for Nigerian residents
  • European Union: EU law and member state regulations for EU/EEA residents
  • United States: Federal and applicable state laws for US residents
  • Canada: Federal and provincial laws for Canadian residents
  • Asia-Pacific: Local laws and regulations for residents of respective countries
  • Cross-border transactions: International commercial law and applicable treaties

Dispute Resolution Process

  • Initial resolution through direct negotiation and customer support
  • Mediation through internationally recognized mediation services
  • Binding arbitration under ICC, LCIA, or other agreed arbitration rules
  • Alternative dispute resolution mechanisms available in your jurisdiction
  • Court proceedings in appropriate jurisdiction as determined by applicable law

Jurisdiction and Venue

  • Primary jurisdiction: Lagos, Nigeria for matters involving Nigerian law
  • EU disputes: Competent courts in the EU member state of user residence
  • US disputes: Federal or state courts with appropriate jurisdiction
  • Canadian disputes: Provincial superior courts or Federal Court of Canada
  • International arbitration: London, Singapore, or other mutually agreed venues

Consumer Protection Rights

Nothing in these terms limits your statutory consumer protection rights under applicable local laws. Where local consumer protection laws provide greater rights than these terms, such local laws shall prevail.

13. Changes to Terms and Conditions

We reserve the right to modify these terms at any time. Changes will be communicated through the following process:

Notification Process

  • Email notification to registered users
  • Platform notifications and announcements
  • Updated terms posted on our website
  • 30-day notice period for material changes

Acceptance of Changes

  • Continued use constitutes acceptance of modified terms
  • You may terminate your account if you disagree with changes
  • Previous versions remain available for reference

Effective Date

Modified terms become effective 30 days after notification, unless you terminate your account before the effective date.
